1. Acceptance of Terms
By accessing or using TransferChat.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
TransferChat.ai provides a file transfer management platform that enables users to:
- Manage connections to Amazon S3 buckets, FTP servers, and SFTP servers
- Upload, download, and delete files
- Browse remote file systems
- Interact with file storage through AI assistants via our Model Context Protocol (MCP) server
- Integrate with ChatGPT, Claude, and other MCP-compatible AI assistants
- Authenticate AI assistants via OAuth 2.0 to perform file operations on your behalf
- Track file transfer activity and audit logs
3. Account Registration
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Be at least 13 years old
- Comply with all applicable laws
You are responsible for all activities that occur under your account.
4. Subscription Plans
4.1 Plan Types
We offer the following subscription plans:
- Free Plan: 5 file transfers per month
- Individual Plan: 100 file transfers per month ($9/month or $90/year)
- Professional Plan: 500 file transfers per month ($19/month or $190/year)
4.2 Billing
- Subscriptions are billed in advance on a monthly or yearly basis
- Transfer limits reset at the beginning of each billing period
- All fees are non-refundable except as required by law
- We use Stripe for payment processing
4.3 Cancellation
- You may cancel your subscription at any time
- Upon cancellation, you retain access until the end of your billing period
- After cancellation, your account reverts to the Free plan
- No refunds are provided for partial billing periods
5. API Access, OAuth, and AI Assistant Integration
5.1 API Tokens
- You may generate API tokens to authenticate programmatic access
- Keep your API tokens secure and do not share them publicly
- You are responsible for all actions performed using your API tokens
- We may revoke API tokens that violate these Terms
5.2 OAuth Authorization for AI Assistants
- You may authorize AI assistants (ChatGPT, Claude, etc.) to access your TransferChat account via OAuth 2.0
- When authorizing an AI assistant, you grant specific permissions (scopes) that control what actions it can perform
- You can view and revoke authorized applications at any time from your account settings
- We are not responsible for how third-party AI assistants use the data they receive from our API
- Authorized applications count toward your account's transfer limits and usage quotas
5.3 Model Context Protocol (MCP) Server
- Our MCP server (mcp.transferchat.ai) enables AI assistants to interact with your file storage
- The MCP server only performs actions you've explicitly authorized through OAuth
- We may rate-limit MCP requests to ensure fair usage and service stability
- You must comply with the terms of service of any AI assistant you connect (OpenAI, Anthropic, etc.)
- We reserve the right to suspend MCP access for accounts that violate these Terms
6. Data and Content
6.1 Your Content
- You retain ownership of all files you transfer through the Service
- We do not access, view, or store the contents of your files
- You are responsible for ensuring you have rights to all transferred content
- You must comply with all applicable laws regarding your content
6.2 Storage Credentials
- We securely store your S3 and FTP credentials to provide the Service
- We will not use your credentials for any purpose other than providing the Service
- You are responsible for the security of your S3 and FTP accounts
7. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Transfer content that infringes intellectual property rights
- Attempt to circumvent usage limits or security measures
- Interfere with or disrupt the Service
- Use the Service to distribute malware or harmful content
- Share your account credentials or API tokens with others
- Reverse engineer or attempt to extract source code
- Use the Service to compete with us or create similar services
8. Service Availability
- We strive to maintain 99.9% uptime but do not guarantee uninterrupted access
- We may perform maintenance with or without notice
- We are not liable for service interruptions or data loss
- Third-party services (S3, FTP, Stripe, OpenAI) may affect availability
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
- WE ARE NOT RESPONSIBLE FOR DATA LOSS ON YOUR S3 OR FTP SERVERS
- WE ARE NOT LIABLE FOR ACTIONS TAKEN BY OPENAI'S GPT OR THIRD PARTIES
10. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your use of the Service
- Your content and file transfers
- Your violation of these Terms
- Your violation of any third-party rights
11. Account Termination
11.1 By You
- You may delete your account at any time from your profile settings
- Account deletion is permanent and cannot be undone
- We will delete your personal data within 30 days
11.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- Your payment fails
- We detect fraudulent or abusive behavior
- Required by law or legal process
12. Changes to Terms
- We may modify these Terms at any time
- Material changes will be announced via email or service notification
- Continued use after changes constitutes acceptance
- If you disagree with changes, you may cancel your account
13. Privacy
Your use of the Service is also governed by our Privacy Policy.
14. Governing Law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law provisions.

15. Dispute Resolution
